Article 1: Scope
These Terms of SAMURAI Membership (hereinafter referred to as 
"Terms") shall set forth the legal issues pertaining to 
TB Co., Ltd. (hereinafter referred to as "the Company") and 
SAMURAI Members, the latter to be defined in the following 
Article, in relation to the use of Japaneseform.com, the 
website operated by the Company (such website hereinafter 
referred to as "Japaneseform.com").

Article 2: Definition
For the purposes hereof, the term "SAMURAI Member" refers to any 
person that completes the prescribed registration procedures at 
Japaneseform.com for the purpose of availing himself or herself 
of services available exclusively to such SAMURAI Members.

Article 3: Membership application
Any person that wishes to avail himself or herself of the services 
provided at Japaneseform.com exclusively for SAMURAI Members may 
apply for membership by, having understood and accepted these Terms, 
filling out the necessary information on the application form 
prescribed by the Company and submitting such form for consideration. 
An applicant becomes a SAMURAI Member at such time as he or she 
receives an email message from the Company confirming membership. 
The Company reserves the right to deny or terminate membership at 
its own discretion. 
Any person that becomes a SAMURAI Member automatically becomes a 
member of Japaneseform.com for free.

Article 4: Members' rights and obligations
At such time as a person acquires SAMURAI Member status according 
to the methods stipulated in the preceding Article, he or she 
becomes eligible to receive the services provided for in Article 9 
(hereinafter referred to as "Services") and takes on the following 
obligations.
1.	Appropriate administration of email address and password 
    pursuant to Article 8.
2.	Other obligations provided for herein.

Article 5: Duration of membership
SAMURAI membership shall expire on the final day of the month falling 
six months after SAMURAI Member status is granted. Membership of 
Japaneseform.com shall survive the expiration of SAMURAI Membership 
in force, provided, however, that the foregoing shall not necessarily 
apply in cases provided for in Articles 7 and 14.

Article 6: Liability 
6.1	Each SAMURAI Member is responsible for his or her use of the 
Services and all acts he or she commits in availing himself or 
herself of the Services, and shall be liable for all consequences 
of such acts.
6.2	In the event that a SAMURAI Member causes the Company or any 
third party to incur damages as a result of such member's use of 
the Services (including cases in which the Company or a third party 
incurs damage as a result of the member's failure to perform his 
or her obligations hereunder), such member shall compensate for such 
damages at his or her own liability and cost.
6.3	SAMURAI Members hereby affirm their understanding that there is 
no guarantee that use of the Services entitles them to any legal 
benefit or protects them from legal disadvantage.

Article 7: Resignation of membership 
7.1	A SAMURAI Member may only resign his or her membership by such 
member personally notifying the Company of such resignation by the 
methods prescribed by the Company.
7.2	Resignation of memberships renders the member ineligible to 
receive members' services provided for in Article 8 .

Article 8: Email address, password
Each SAMURAI Member shall be liable for the administration of his 
or her email address and password. The Company shall bear no 
liability whatsoever for any damage incurred as a result of faulty 
administration. The foregoing shall include cases in which a member 
forgets the email address he or she registers with Japaneseform.com.

Article 9: Types of services
SAMURAI Members may avail themselves of services offered as SAMURAI 
Member benefits and download content provided by Japaneseform.com.

Article 10: Payment
SAMURAI Members shall pay membership dues by the methods set forth 
in the application form provided for in Article 3. Dues shall not be 
refunded under any circumstances whatsoever.

Article 11: Suspension of services
SAMURAI Members hereby agree that the Company may temporarily suspend 
use of its systems without advance notice to members in the event 
that it deems any of the circumstances below to have arisen. 
The Company shall not bear any liability to compensate for damages 
incurred by any member as a result of such suspension.
(1)	A disruption occurs in a Japaneseform.com terminal and urgent 
    repair or maintenance is required.
(2)	The Company suspends or becomes unable to provide its download 
    services on Japaneseform.com as a result of natural disaster, 
    power outage, disruption to telecommunication lines, revision 
    or repeal of any pertinent law, disputer any other unavoidable 
    circumstance.
(3)	Any other unavoidable circumstance arises in which it is 
    necessary to temporarily suspend services for the benefit of the 
    operation or administration of Japaneseform.com.

Article 12: Changes to members' details
In the event that any change arises in any details that a SAMURAI 
Member submits to the Company pursuant to Article 2, such member 
shall promptly notify the Company by the prescribed methods. 
The Company shall bear no liability whatsoever for any damage 
incurred by a SAMURAI Member as a result of failure to submit 
the aforementioned notice.

Article 13: Prohibited acts
13.1	No SAMURAI Member may lend or transfer his or her membership 
to any third party, or cause or allow any third party to use 
such membership.
13.2	No SAMURAI Member may use any business document, material or 
other data provided through Japaneseform.com as part of the 
Services (hereinafter referred to as "Data") in excess of 
the scope of use permitted under the Copyright Law.
13.3	No SAMURAI Member may cause or allow any third party to use 
the Data without the approval of the copyright holder.
13.4	In the event that any problem arises as a result of any 
breach of the terms and conditions of this Article, 
the pertinent member shall resolve such matter at his or 
her own liability and expense, and shall not cause the 
Company to incur any inconvenience or damage whatsoever.
13.5	No SAMURAI Member may use the Japaneseform.com download 
services provided by the Company for his or her own 
commercial purposes or otherwise for profit without prior 
written approval from the Company, nor commit any act as 
a prelude to the foregoing.
13.6	No SAMURAI Member shall commit any of the acts listed 
below in availing himself or herself of the 
Japaneseform.com download services provided by the Company.
(1)	Violate any copyright or other right of the Company, any 
　　other member or third party, or commit any act that may 
　　constitute such a violation.
(2)	Violate the property or privacy of the Company, any other 
　　member or third party, or commit any act that may 
　　constitute such a violation. 
(3)	Cause the Company, any other member or third party to 
　　incur any disadvantage or damage, or commit any act that 
　　may do so.
(4)	Violate public order and morals, or commit any act that 
　　may constitute such a violation.
(5)	Commit any crime, commit any act that leads to criminal 
　　acts, or commit any act that may do so.
(6)	Commit any act for profit with regards to the Services 
　　without approval from the Company, or any act intended 
　　as a prelude to the foregoing.
(7)	Commit any act that obstructs the operation of the 
　　Services, or any act that may do so.
(8)	Commit any act that damages the credit of the Services, 
　　or any act that may do so.
(9)	Make any false statement or submit false notice to the 
　　Company, including but not limited to registering 
　　under the email address of a third party.
(10)Use or supply any virus or other such harmful computer 
　　program through or in relation to the Services, or commit 
　　any act that may constitute such use or supply.
(11)Violate any law, or commit any act that may constitute 
　　such a violation.
(12)Commit any act that the Company may otherwise reasonably 
　　deem to be inappropriate.

Article 14: Loss of membership, claims for compensation
In the event that a SAMURAI Member commits any act listed below, 
the Company may terminate the membership of such SAMURAI Member 
without need to obtain his or her approval. The Company may 
further demand that such SAMURAI Member compensate for any 
damages that the Company may incur as a result of the foregoing.
(1)	The SAMURAI Member makes a false statement in his or her 
　　membership application.
(2)	The SAMURAI Member is delinquent in paying or fails to pay 
　　his or her membership dues.
(3)	The SAMURAI Member violates the terms and conditions herein.
(4)	Other grounds exist for the Company to deem the SAMURAI 
　　Member inappropriate to be a member.

Article 15: Amendments to, cancellation of services
The Company may amend or cancel the Services at any time without 
prior notice to SAMURAI Members. At such time as the Services are 
cancelled, SAMURAI membership shall be duly revoked.

Article 16: Revision of specifications
SAMURAI Members hereby agree that the specifications of content 
posted on Japaneseform.com may be revised at any time without 
advance notice.

Article 17: Use of member information
All information submitted by SAMURAI Members upon member 
registration and data pertaining to their use of Japaneseform.com 
shall be entered into the Japaneseform.com database. Information 
entered into such database shall not be used for any purpose 
other than those listed below, provided, however, that the 
foregoing shall not necessarily apply in cases where a member 
gives prior approval for such use.
(1)	To improve the products and services offered by the Company.
(2)	To provide members with accurate information about services 
　　offered by the Company and new products and services that 
　　the Company may recommend.
(3)	To contact SAMURAI Members when necessary.
(4)	To study members' use of the site and their usage platforms 
　　and environments, and report as appropriate to pertinent 
　　internal departments of the Company.

Article 18: Disclosure of member information
The Company shall not sell or lend information pertaining to 
SAMURAI Members to any third party. However, the Company may 
disclose member information in the circumstances listed below.
(1)	A SAMURAI Member agrees to his or her member information 
　　being disclosed or shared.
(2)	The Company deems it necessary to disclose or share member 
　　information in order to provide the products and services 
　　that SAMURAI Members want.
(3)	Any business engaged by the Company for the purpose of 
　　providing products and services to SAMURAI Members needs 
　　member information (such businesses are not permitted to 
　　use member information supplied by the Company outside of 
　　the purposes set forth above except where the Company 
　　serves special notice to SAMURAI Members of such use).
(4)	The member information is formally accessed under law by 
　　a court or law, police or other such public institution.
(5)	Any act committed by a member on the Japaneseform.com site 
　　violates the terms and conditions stipulated herein or in 
　　the guidelines, and the Company reasonably deems it necessary 
　　to disclose member information in order to protect its 
　　rights, property and services.
(6)	The urgent need arises to disclose member information in 
　　order to address any immediate danger to human life, body 
　　or property.

Article 19: Copyrights pertaining to services
Copyrights pertaining to the design of Japaneseform.com and the 
content posted on such website belong to the Company except where 
otherwise noted. No SAMURAI Member may copy, transmit or post 
any information that comes into his or her knowledge through 
the use of Japaneseform.com for anything other than personal 
use without prior approval from the Company. Furthermore, when 
using Japaneseform.com content, SAMURAI Members shall comply 
with the following licensing provisions.

Content Licensing Provisions
*The Company will only accept inquiries about content and 
 services by email. The Company is unable to answer questions 
 about specialized topics (e.g., legal issues, tax, accounting, 
 hardware or operating systems).
*Copyrights pertaining to content downloadable from 
 Japaneseform.com belong to the Company except where otherwise 
 noted.
*The Company requires that all posting or transferring of any 
 content of Japaneseform.com anywhere else, regardless of 
 medium, be subject to advance notice to the Company. Such 
 notices should be directed to japaneseform_info@templatebank.com.
*Illustrations, photographs and other such content may not be 
 used in products, logos, symbols or characters, or 
 redistributed either free or for a fee.
*No content downloadable from Japaneseform.com may be used for 
 any purpose that contravenes public order and morals, or to 
 defame or slander.
*Other matters not provided for herein shall be subject to the 
 Copyright Law and other pertinent laws.
*The Company shall bear no liability whatsoever for any 
 disadvantage, damage or grounds for legal action that may 
 arise as a result of use of content downloaded from 
 Japaneseform.com or inability to download or use such content, 
 or for any other damage or losses.
*The Company shall bear no liability whatsoever for any virus 
 contamination that occurs after content is downloaded, or for 
 the consequences of operation of programs embedded in template 
 files. Content is to be used at the user's responsibility.
*The Company may amend the text and content of Japaneseform.com 
 in future without advance notice.

Article 20: Revision of Terms
Any revision of these Terms shall be posted at the URL on the 
Japaneseform.com site as set forth below, except where 
otherwise provided. SAMURAI Members shall be deemed to have 
agreed to such revised Terms at such time as they are posted.

Article 21: Jurisdiction
In the event that any dispute arises in relation to these Terms, 
the Nagoya District Court shall be the court of exclusive 
jurisdiction in the first instance.
